Terms & Conditions

1. Definitions

• "Orchid Flux" — Orchid Flux Pte. Ltd., a company registered in Singapore.
• "Services" — AI integration workshops, training programmes, process redesign engagements, and related consulting services offered by Orchid Flux.
• "User" / "you" — any individual or organisation accessing this website or engaging our Services.
• "Agreement" — these Terms & Conditions together with any applicable service brief or engagement letter.
• "Content" — all materials, frameworks, methodologies, and deliverables produced by Orchid Flux.

2. Acceptance of Terms

By accessing our website or signing an engagement letter with Orchid Flux, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms & Conditions in full. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

3. Description of Services

Orchid Flux provides three primary services for Singapore-based businesses:

• AI Opportunity Discovery Workshop — facilitated sessions to surface and prioritise AI use cases for your organisation (S$350 per engagement)
• AI Fluency Training for Teams — a six-week education programme equipping employees with practical AI skills (S$580 per engagement)
• Intelligent Process Redesign — an eight to twelve week consultative engagement identifying and implementing AI-assisted process improvements (S$890 per engagement)

Services are delivered in Singapore and via remote facilitation where appropriate. Geographic and availability restrictions may apply at our discretion.

4. Engagement Process and Scope

Each service engagement is governed by a written brief agreed by both parties before commencement. The brief defines objectives, deliverables, timelines, participant requirements, and fee schedule. No work will commence without a signed brief. Changes to agreed scope require written confirmation from both parties and may affect fees and timelines.

5. Payment Terms

All fees are quoted and invoiced in Singapore Dollars (SGD). Payment terms are as follows:

• 50% deposit due upon signing the engagement brief
• Remaining 50% due within 14 days of engagement completion
• Accepted payment methods: bank transfer (FAST/GIRO), PayNow
• Late payments accrue interest at 1.5% per month on outstanding balances

Orchid Flux reserves the right to pause service delivery for overdue accounts.

6. Cancellation and Refunds

Cancellations must be submitted in writing to [email protected]. The following cancellation policy applies:

• Cancellation more than 14 days before commencement: full refund of deposit
• Cancellation 7–14 days before commencement: 50% of deposit refunded
• Cancellation less than 7 days before commencement: no refund of deposit

If Orchid Flux is unable to deliver a service through circumstances within our control, a full refund will be provided. Rescheduling at no penalty is available once per engagement with at least 7 days' notice.

7. Intellectual Property

All methodologies, frameworks, training materials, and processes developed by Orchid Flux remain the intellectual property of Orchid Flux Pte. Ltd. Deliverables produced specifically for your engagement (e.g. use-case portfolios, process maps, competency summaries) are licensed to you for internal use. You may not redistribute, resell, or sublicense these deliverables without our written consent.

8. Confidentiality

Both parties agree to treat all non-public information exchanged during an engagement as confidential. Orchid Flux will not disclose client business information, processes, or data to third parties without written consent, except where required by law. Mutual NDAs are available on request for any engagement.

9. User Responsibilities

You agree to:

• Provide accurate and complete information when engaging our services
• Ensure appropriate internal participation and access as agreed in the engagement brief
• Use deliverables only for lawful, internal business purposes
• Not represent Orchid Flux materials as your own original work

10. Disclaimer

Our Services are provided based on professional judgment and industry knowledge. Orchid Flux does not warrant that any particular business outcome, efficiency improvement, or AI implementation outcome will result from our Services. Recommendations made during engagements reflect professional assessment at the time and should not be treated as absolute predictions.

Our website is provided "as is" without warranties of any kind, including fitness for a particular purpose or uninterrupted availability.

11. Limitation of Liability

To the maximum extent permitted by Singapore law, Orchid Flux's total liability to you arising from any engagement shall not exceed the total fees paid by you for that engagement. We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business disruption. Nothing in these terms limits liability for fraud or gross negligence.

12. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice. Upon termination, fees are due for all work completed to date. Provisions relating to intellectual property, confidentiality, and limitation of liability survive termination.

13. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Singapore. Disputes should first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be referred to mediation at the Singapore Mediation Centre before any legal proceedings. The courts of Singapore shall have exclusive jurisdiction over any proceedings that proceed to litigation.

14. General Provisions

These Terms & Conditions constitute the entire agreement between you and Orchid Flux regarding use of our website and services. If any provision is found unenforceable, the remaining provisions continue in full effect. Failure to enforce any right does not constitute a waiver of that right. You may not assign your rights under any engagement without our prior written consent.

15. Changes to These Terms

We may update these Terms & Conditions periodically. Updated terms will be posted on this page with a revised effective date. Continued use of our website or engagement of our services after changes constitutes acceptance of the updated terms.
